General Terms and Conditions of Business

These General Terms and Conditions of Business apply to all offers, contracts concluded and services rendered by Agmis UAB, reg. No. 301425669 (including services whose scope contains the granting of software licences).

The Company is not bound by any agreement unless and until the CEO — or a person to whom the CEO has granted express written power of attorney for the concrete deal — has signed the contract. E-mails, oral statements, or documents signed by any other employee do not create any obligation for the Company.

Prices are quoted exclusive of VAT. Payment is due within 14 calendar days of the earlier of (i) the date of delivery of the software / completion of installation or (ii) the invoice date, without any deduction. Late-payment interest: 8 % per annum above the ECB base rate (statutory interest under Lithuanian law) or 0.05 % per day if higher.

The use of any software supplied or made available under the contract is governed exclusively by the Software Licence Terms available at: https://agmis.com/standard-software-license-terms/

The Company's total liability under any contract is limited to the net amount paid by the Customer in the preceding 12 months. Indirect and consequential damages are excluded.

Lithuanian law applies. Exclusive jurisdiction: the courts of Kaunas, Lithuania.
